Certain features of the platform may be subject to additional guidelines, terms, or rules, which will be posted on the platform in connection with such features.
All such additional terms, guidelines, and rules are incorporated by reference into these Terms.
These terms of service Terms of Service) are a contract between you and NursingNetwork. By using Nursing Network. Creating your NursingNetwork account and using the Site or our mobile application to post various content to the NursingNetwork community, including posts and presentations you create, comments and messages, or to access and view NursingNetwork content or other user content (together with the Site), you agreeing to these Terms of Service. If you don’t agree to any of these terms, you can use the NursingNetwork Services.
These Terms of Use described the legally binding terms and conditions that oversee your use of the Site.
BY LOGGING INTO THE SITE, YOU ARE BEING COMPLIANT THAT THESE TERMS and you represent that you have the authority and capacity to enter into these Terms.
YOU SHOULD BE AT LEAST 18 YEARS OF AGE TO ACCESS THE SITE. IF YOU DISAGREE WITH ALL OF THE PROVISION OF THESE TERMS, DO NOT LOG INTO AND/OR USE THE SITE.
YOU NEED AN ACCOUNT
You can browse on the Site or use the Services without registering for an account. To get the most out of the NursingNetwork platform, you will need to register, choose an account name, and set a password.
You responsible for all the activity on your account, and for keeping your password confidential. If you share your account information with anyone, that other person may be able to take control of the account, and we may not be able to determine who is the proper account holder. We will not have any liability to you (or anyone you share your account information with) as a result of your or their actions under those circumstances. If you find out that someone used your account without your permission, you should report it to us.
ACCESS TO THE SITE
Subject to these Terms NursingNetwork grants you a non-transferable, non-exclusive, revocable, limited license to access the platform solely for your own personal, noncommercial use.
Certain Restrictions The rights approved to you in these Terms are subject to the following restrictions: (a) you shall not sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the platform; (b) you shall not change, make derivative works of, disassemble, reverse compile or reverse engineer any part of the platform; (c) you shall not access the platform in order to build a similar or competitive website; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means unless otherwise indicated, any future release, update, or other addition to functionality of the NursingNetwork platform shall be subject to these Terms. All copyright and other proprietary notices on the Site must be retained on all copies thereof.
NursingNetwork may change, terminate, or restrict access to any aspect of the Services, at any time, without notice. We can remove any content you post or submit for any reason. NursingNetwork may access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms of Service, including investigation of potential violations, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of the Services, its users and the public.
No Support or Maintenance You agree that NursingNetwork will have no obligation to provide you with any support in connection with the platform.
Excluding any User Content that you may provide, you are aware that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the platform and its content are owned by NursingNetwork or NursingNetwork suppliers. Note that these Terms and access to the platform do not give you any rights, title or interest in or to any intellectual property rights, except for the limited access rights expressed in Section 2.1. NursingNetwork and its suppliers reserve all rights not granted in these Terms.
USER CONTENT
User Content; means any and all information and content that a user submits to the NursingNetwork platform. You are exclusively responsible for your User Content. You bear all risks associated with use of your User Content.
Before posting any content to NursingNetwork, it is important that you read our Content guidelines. If your content does not comply with these guidelines, it may be removed at any time.
You own all the rights to the content you create and post on the NursingNetwork Services. Of course, if the content wasn’t yours to begin with, putting it on NursingNetwork doesn’t make it yours. Don’t submit content you don’t hold the copyright for (unless you have permission, including to grant NursingNetwork all the rights outlined in these terms).
When you post content to NursingNetwork, we need the legal permission under applicable copyright laws to display that content to users of the NursingNetwork Services. Legally this means you give us a nonexclusive license to publish your content on the NursingNetwork Services, including anything reasonably related to publishing it (like storing, displaying, reformatting, and distributing it). You will need to decide how you want to license your presentation content to the NursingNetwork community.
You responsible for the content you post. This means you assume all risks related to its publication and display, including someone else reliance on its accuracy and any claims relating to intellectual property or other legal rights.
NursingNetwork is a free service and it growth relies on promotion of its Services. To continuously grow our community, you understand that we may also use your Content to promote the Services. We can sell your content to third parties without your explicit permission.
In your use of the Services, you may enter into additional terms and conditions and other agreements that alter or override these Terms of Service. In case of any conflict or inconsistency, the terms and conditions of those additional terms and agreements would override these Terms of Service.
You hereby certify that your User Content does not violate our Acceptable Use Policy. You may not represent or imply to others that your User Content is in any way provided, sponsored or endorsed by NursingNetwork. Because you alone are responsible for your User Content, you may expose yourself to liability. NursingNetwork is not obliged to backup any User Content that you post; also, your User Content may be deleted at any time without prior notice to you. You are solely responsible for making your own backup copies of your User Content if you desire.
You hereby grant to NursingNetwork an irreversible, nonexclusive, royalty-free and fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, solely for the purposes of including your User Content in NursingNetwork platform. You hereby irreversibly waive any claims and assertions of moral rights or attribution with respect to your User Content.
GENERAL TERMS
These Terms are subject to occasional revision, and if we make any changes, NursingNetwork will update the date on the Terms Condition page. These changes will be effective immediately. Continued use of our Platform following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
Dispute Resolution Please read this Arbitration Agreement carefully. It is part of your contract with NursingNetwork and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
Applicability of Arbitration Agreement All claims and disputes in connection with the Terms or the use of any product or service provided by the NursingNetwork that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and the NursingNetwork, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.
Entire agreement. These Terms of Service (including any document incorporated by reference into them) are the whole agreement between NursingNetwork and you concerning the Services, and these Terms of Service supersede and replace any prior agreements between NursingNetwork and you regarding the Services.
No waiver and severability If NursingNetwork doesn’t exercise or enforce a particular right or provision under these Terms of Service, that doesn’t mean we waived that right or provision. If any provision of these Terms of Service is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms of Service will remain in full force and effect.
Choice of law and jurisdiction We at NursingNetwork encourage you to contact us if you having an issue, before resorting to the courts. In the unfortunate situation where legal action does arise, these Terms of Service shall be governed by and interpreted in accordance with the laws of England and Wales, without regard to principles of conflicts of laws. You agree that any dispute or claim arising out of or in connection with these Terms of Service will take place in the courts of London.
Assignment These Terms of Service are personal to you. You can assign them, transfer them, or sublicense them unless you get NursingNetwork prior written consent. NursingNetwork has the right to assign, transfer, or delegate any of its rights and obligations under these Terms of Service without notice and without your consent.
Notice Requirement and Informal Dispute Resolution Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the requested relief. A Notice to the NursingNetwork should be sent to: NursingNetwork. After the Notice is received, you and the NursingNetwork may attempt to resolve the claim or dispute informally. If you and the NursingNetwork do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award to which either party is entitled.
Entire Terms These Terms constitute the entire agreement between you and us regarding the use of the Platform. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word means including without limitation; If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to NursingNetwork is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without NursingNetwork prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. NursingNetwork may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
